How to use Precedent's

Precedents adds a layer to the review. Upload your firm’s precedent, as a .docx and for clauses already flagged as a risk to your client.

  1. Open LawY Contracts in Word

    With your contract open, go to the Add-ins tab and open LawY Document Options (or
    LawY Contracts). The panel opens on the right under “Tell us more about this contract.”

  2. Choose who you’re representing

    Select the party you act for from Who are you representing? Then set the Jurisdiction
    (country and, where relevant, state or region). This frames the entire risk analysis.

  3. Add your precedent (optional)
    Under Precedent, select Choose Word document and pick your precedent
    (.docx). Choose the version suited to the side you act on LawY reads it with your client in
    mind.

  4. Add instructions (optional, recommended)
    Under Instructions for the review, note anything to prioritise specific clauses, risks, your
    negotiating position or deal-breakers. Your instructions take priority over the precedent.

  5. Run the review
    Select Review Contract. LawY analyses the whole document from your client’s side and
    surfaces the clauses that pose a risk.

  6. Read the results
    Each risk appears with a severity (for example, High). Open one to see the Analysis what
    the risk is and, where you added a precedent, how your precedent handles it and the gap.
    Proposed redlines appear as tracked changes.

  7. Act on the redlines you stay in control
    Accept, edit or reject each suggested redline. Use Chat about section to ask a follow-up.
    LawY shows the risk and the gap; you decide what to do about it.
